Terms of Service

1. Acceptance of Terms

By accessing or using YieldVista ("the Service"), operated by MTD071 LLC ("we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

You must be at least 18 years old to create an account or purchase a subscription. By using the Service you represent that you meet this minimum age requirement. The Service is not directed to children and we do not knowingly collect personal information from anyone under 18.

2. Description of Service

YieldVista provides satellite-derived crop health data, vegetation indices, and analytical tools for agricultural commodities. Data is sourced from publicly available satellite imagery (Sentinel-2) and government datasets (USDA NASS). The Service is intended for informational purposes only.

3. No Investment Advice

The Service does not constitute financial, investment, or trading advice. Crop health data, yield estimates, and anomaly alerts are analytical tools — not recommendations to buy, sell, or hold any commodity, security, or derivative. You are solely responsible for your own trading and investment decisions.

4. Data Accuracy

While we strive for accuracy, satellite-derived data is subject to cloud cover, sensor limitations, and processing artifacts. We make no warranty that the data is error-free, complete, or current. Historical baselines and deviation metrics are computed from available data and may not reflect actual on-the-ground conditions.

5. Accounts and Subscriptions

You are responsible for maintaining the confidentiality of your account credentials. Paid subscriptions are billed annually through Stripe and renew automatically unless cancelled. You may cancel at any time through the customer portal; access continues until the end of your paid billing period.

Subscriptions are non-refundable. Free tier remains free indefinitely. The Free tier is the try-before-you-buy. We do not offer pro-rated, partial, or post-purchase refunds; we may grant a refund at our sole discretion in cases of demonstrable technical failure that prevented use of the Service. Discount codes (such as promotional or seasonal offers) apply to the first paid term only and do not carry over to renewals unless explicitly stated.

Tier acreage limits. To ensure fair platform performance and sustainable operations, each tier has a maximum total enrolled acreage across all fields: Free (500 acres), Pro (2,500 acres), Pro+ (5,000 acres). Enterprise subscriptions are governed by individual contract terms. If enrolled acreage exceeds your tier's cap, we may pause weekly processing on overage fields, reduce satellite refresh frequency, or require an upgrade. We will provide reasonable notice and prefer to work with you on the appropriate tier.

6. Acceptable Use

The Service delivers calculated outputs (per-field crop-health readings, baselines, deviations, yield outlooks, regional aggregates, commentary) that are our intellectual property and are intended for in-UI use by the subscribing user only.

Access to the Service is granted only on the terms set out in this Section 6; access in excess of these terms is unauthorized.

You agree not to: (a) scrape, extract, or programmatically retrieve data from the Service by any means, including but not limited to automated scripts, headless browsers, third-party scrapers, or proxy harvesting; (b) use the Service's API endpoints outside of normal browser-rendered UI sessions; (c) resell, redistribute, republish, or share data, screenshots, or derivative analyses with third parties without prior written permission; (d) attempt to circumvent authentication, rate limits, access controls, or usage caps; (e) reverse-engineer, decompile, or attempt to derive our models or methods from outputs you have access to; (f) interfere with, overload, or disrupt the operation of the Service.

Violations are grounds for immediate account termination without refund and may expose you to legal action. We may use technical countermeasures (rate limiting, bot detection, response watermarking, behavioral analysis) to detect and prevent prohibited use. Subscribers granted Enterprise access remain bound by these restrictions in addition to any contract-specific terms.

7. Limitation of Liability

To the maximum extent permitted by law, MTD071 LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to trading losses, lost profits, or data inaccuracies.

Our total aggregate liability for direct damages of any kind arising out of or related to the Service shall not exceed the fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim. This cap applies regardless of the form of action, whether in contract, tort, or otherwise.

8. Governing Law & Venue

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Dallas County, Iowa, and you consent to personal jurisdiction in those courts.

9. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email to registered users.
